• TotalEnergies: Advisor on vendor financing for the divestment of its 10% working interest in the SPDC JV (Ongoing).
• Shell: Advisor on the divestment of SPDC assets to Renaissance, including financing structuring for the sale (2024).
• Oando: Advisor on its acquisition of a 20% working interest in the NAOC JV from Eni (2023).
• Equinor: Advisor on the sale of Equinor Nigeria (OML 128) to Chappal Energies (2023).
• Exxon: Advisor on the sale of its interest in the MPNU JV to Seplat (2022).
• Heirs Energies: Advisor on its acquisition of a 45% working interest in OML 17 from Shell,
  TotalEnergies, and Eni (2020).
 

NNPC PROJECTS ADVISORY EXPERIENCE

Project Leopard – US$2.0Billion Pre-Export Finance Facility. Co – Financial Advisors, Local Co-Arranger and Coordinator for the Nigerian commercial banks and traders. As Local Co-arranger, Ahybrid provided dedicated transaction execution support and overall process management. We Coordinated with the regional commercial banks and traders to ensure a seamless transaction.

Project Eagle – US$900m Pre-Export Finance Debt Facility. Local Co-Arranger and Coordinator. We supported on the transaction execution and coordination building on the successful precedent structure of Eagle. Our strong capability in coordinating financing across the international and local market made the transaction a success. AKK Gas Project – AKK Funding Limited – US$2.5Billion ECA Backed Financing. We acted as Co-Financial Advisors and collaborated seamlessly to engage key stakeholders (CBN, MOFI, etc) to unlock approvals for the sovereign guarantee and FX support required for the transaction.

Project Manhattan – NNPC Limited & First E & P – US$724m Finance Facility – As Co-Financial Advisor, Ahybrid provided local market expertise, streamlining the transaction process and providing important contributions to transaction documentation including key stakeholder management

Project Slessor – NNPC Limited & SEEPCO – US$3.15Billion – Co- Financial Advisors – We supported the JFA to design a competitive process and provided strong tactical support and market intelligence ensuring the best possible outcome for NNPC. Ahybrid played a critical role in the structuring and documentation of the transaction. The JFAs led the entire transaction including market sounding, preparation of marketing materials, coordination, due diligence, and negotiations to a successful completion.
